Contract management at Foundation has been running on multiple people's tribal knowledge rather than a documented process. As the company's enterprise business grows, including a recent account expansion worth more than $1 million, that approach needs to become a repeatable system.

This role gives one person ownership of the contract lifecycle from beginning to end. That includes drafting, negotiating and reviewing contracts across client agreements, vendor agreements, independent contractor agreements and other contract scenarios.

The goal is simple: create a dependable contract process that supports enterprise growth without creating unnecessary legal risk or becoming a bottleneck for the wider team.

What You'll Be Responsible For

Full-Cycle Contract Ownership & Negotiation — About 75%

  • Draft and negotiate new client MSAs and SOWs from company templates.
  • Manage client review and redline processes directly.
  • Own content mapping and negotiation for contracts using a client's own MSA or SOW template.
  • Draft and manage change orders and extension orders that reference existing MSA or T&C terms.
  • Draft and negotiate vendor contracts.
  • Cross-reference vendor terms against live client contracts for scope, IP and confidentiality consistency.
  • Draft and manage employment, independent contractor and freelancer agreements.
  • Make escalation decisions about what can proceed internally and what needs outside counsel.
  • Act as the primary point of contact with outside counsel.
  • Review insurance and liability provisions, including indemnification, coverage limits and additional insured requirements.
  • Coordinate with People Ops to confirm coverage details and complete InfoSec questionnaires where required.
  • Audit active SOWs and change orders against governing MSA terms to identify potential scope creep.

Improving Contract Knowledge Systems — About 25%

  • Own and harmonize the template library.
  • Document acceptable and unacceptable contract terms.
  • Define deposit requirements and escalation thresholds.
  • Own contract intake and storage workflows.
  • Manage incoming review and drafting requests through ClickUp.
  • Ensure executed contracts are consistently stored in Google Drive and logged in ClickUp where applicable.
  • Contribute to an AI-assisted contract knowledge system.
  • Configure and maintain DocuSign and PandaDoc for e-signature, tracking and lifecycle metadata.

Qualifications

  • 6+ years of experience in contract management, paralegal work or contracts-counsel work, ideally in B2B SaaS, marketing, agency or professional services.
  • Experience independently drafting and negotiating MSAs, SOWs, vendor contracts and change orders.
  • Working knowledge of US and Canadian contract law fundamentals.
  • Understanding of indemnification, liability caps, IP and usage rights and data privacy basics.
  • Understanding of privacy frameworks relevant to the client base, including GDPR, PIPEDA and CCPA.
  • Experience building a contract management function, workflow or CLM system from scratch.
  • Practical experience with DocuSign, PandaDoc, ClickUp and at least one AI-assisted knowledge or CLM tool.
  • Ability to work independently in a remote, high-volume environment.

A law license is not required. Outside counsel remains available for formal legal opinions, but the role requires enough knowledge to identify when counsel is needed and brief them efficiently.

Compensation

Base Pay

$60,000 – $110,000 CAD per year

Depending on experience and location.

OTE

$75,000 – $138,000 CAD per year

Eligible for company profit share and performance bonuses.
